WHISTLEBLOWER POLICY AND PROCEDURES

The Board of Directors of Telecontinent Sdn Bhd (“TC”) remains firmly committed to building a workplace culture that values honesty, openness, and doing the right thing. TC maintains a rigorous zero-tolerance stance against any form of misconduct or malpractice (“Improper Conduct”) and is resolute in upholding the highest standards of professionalism, competence, and operational excellence.

To reinforce these principles, TC prioritizes the proactive identification and remediation of Improper Conduct. Central to this initiative is the empowerment and safeguarding of whistleblowers, whose disclosures are instrumental in preserving organizational integrity and promoting accountability at every level.

Definition of Improper Conduct

Reports may be submitted concerning any act or omission that, if substantiated, constitutes a breach of discipline or a criminal offence committed by any employee and member of the Board of Directors. Examples of such conduct include, but are not limited to:

•           Criminal offences such as bribery, fraud, corruption, or abuse of authority

•           Misappropriation of funds or assets, theft, embezzlement, or gross mismanagement

•           Financial irregularities or improprieties

•           Breaches of TC’s Code of Ethics or Code of Conduct

•           Non-compliance with applicable laws, regulations, or statutory obligations

•           Undisclosed conflicts of interest that undermine professional judgment or objectivity

•           Aiding, directing, or advising others to engage in any of the aforementioned misconduct

•           Retaliatory actions against whistleblowers or individuals associated with them

Reports may be submitted by employees, members of the Board of Directors, business associates, or members of the public who possess credible knowledge of Improper Conduct committed by any individual within TC.

Requirement of Good Faith

1.         Given the potential for serious personal consequences for individuals implicated in allegations of Improper Conduct, all reports must be made in good faith.

2.         The reporting party must have reasonable and credible grounds for the allegation and must act in the best interest of the Company, without personal gain or hidden motives.

Lodging a Report

If you possess information regarding Improper Conduct by any Director or Employee, TC encourages you to come forward so that appropriate action may be taken. While anonymous reports are accepted, they are discouraged due to the inherent limitations in verifying facts and conducting thorough investigations. Whistleblowers who choose to remain anonymous should be aware that TC cannot guarantee protection from adverse actions and that the scope of investigation will be confined to the details provided.

Confidentiality and Whistleblower Protection

TC is committed to maintaining the confidentiality of whistleblower identities to the fullest extent possible. To avoid compromising the investigation, whistleblowers are also expected to maintain discretion regarding the report, its contents, and the individuals involved.

Whistleblowers who make disclosures in good faith will be accorded the following protections:

•           Confidentiality of the information and identity

•           Immunity from civil and criminal liability arising from the disclosure

•           Protection against any form of retaliation or detrimental action

Reporting Procedure

Disclosures of Improper Conduct should be submitted in writing to the designated independent director’s email karenocy@outlook.com. Reports should include sufficient detail to facilitate investigation, such as:

•           A clear description of the alleged misconduct

•           Names of individuals involved

•           Specifics regarding the nature, location, and circumstances of the incident

•           Any supporting documentation or evidence, if available

Whistleblowers are strongly encouraged to provide their identity or contact information to enable TC to seek clarification or additional details. Anonymous submissions may limit TC’s ability to conduct a comprehensive investigation and will not qualify for whistleblower protection.
